How the engagement works
Board Resolutions are governed by the Companies Act, 2013, applicable rules, the company’s Memorandum and Articles of Association, and applicable Secretarial Standards. Section 179 identifies powers of the Board that are to be exercised by means of resolutions passed at meetings of the Board, subject to the applicable provisions. Certain matters may also require shareholder approval or additional statutory filings. The specific approval and documentation requirements depend on the nature of the transaction or decision.
