How the engagement works
Change of registered office is governed primarily by Sections 12 and 13 of the Companies Act, 2013 and applicable rules. The procedure depends on the nature and location of the proposed change. Changes within the local limits of a city, town, or village may follow a different process from changes from one city or town to another within the same ROC jurisdiction. Changes from one ROC jurisdiction to another or from one State to another can require additional approvals and filings. Form INC-22 is generally used for notifying the Registrar of a change in registered office, while other forms and approvals may apply depending on the nature of the change.

02Can a company change its registered office?
Yes. A company can change its registered office subject to the procedure prescribed under the Companies Act, 2013. The applicable process depends on where the new registered office is located.
03What documents are required for changing the registered office?
Common documents include proof of ownership or lease, recent utility bill, owner consent or NOC where applicable, Board or shareholder resolutions, photographs or verification documents where required, and other documents prescribed for the relevant filing.
04What is Form INC-22?

05Does every registered office change require shareholder approval?

06What happens when a company shifts its registered office to another State?
An inter-State shift generally involves additional legal procedures, including alteration of the Memorandum of Association, shareholder approval, and approval or filings with the competent authorities as prescribed under the Companies Act.
07Can the registered office and business office be different?
Yes. A company may operate from locations other than its registered office, subject to applicable legal and regulatory requirements. The registered office must continue to satisfy the requirements under the Companies Act.
